Acceptance of Terms

By accessing our website, engaging our services, or entering into any agreement with broombpsrw B.V., you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. Service Description

broombpsrw provides property protection services to residential and commercial property owners throughout the Netherlands. Our services include but are not limited to security monitoring, surveillance systems, property maintenance, emergency response, legal compliance assistance, and related property protection solutions. Specific service details, scope, and pricing are outlined in individual service agreements.

Client Obligations

As a client of broombpsrw, you agree to:

• Provide accurate and complete information about your property and security requirements
• Grant necessary access to your property for service delivery and maintenance
• Pay all fees and charges in accordance with the agreed payment terms
• Comply with all applicable laws and regulations regarding your property
• Notify us promptly of any changes to your property or security needs
• Cooperate with our staff and contractors in the performance of services
• Maintain appropriate insurance coverage for your property

Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are payable within 30 days of the invoice date. Late payments may incur interest charges at the rate of 1% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for overdue accounts and to engage collection agencies or legal counsel to recover unpaid amounts.

Intellectual Property

All content on our website, including text, graphics, logos, images, software, and other materials, is the property of broombpsrw or its licensors and is protected by Dutch and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our express written permission. Our service methodologies, security protocols, and proprietary systems remain the intellectual property of broombpsrw.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy and in compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR).

Limitation of Liability

To the maximum extent permitted by Dutch law, broombpsrw's total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for services in the twelve months preceding the incident giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. This limitation applies regardless of the legal theory on which the claim is based.

Force Majeure

broombpsrw shall not be liable for any failure or delay in performance under these terms that is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or technical failures. In such cases, we will make reasonable efforts to resume normal service as soon as possible.

Indemnification

You agree to indemnify and hold harmless broombpsrw, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to your use of our services, your violation of these terms, or your violation of any applicable laws or regulations.

Termination

Either party may terminate service agreements in accordance with the specific termination provisions outlined in the individual service contract. We reserve the right to terminate services immediately if you breach these terms, fail to pay fees when due, or engage in conduct that we determine to be harmful to our business or other clients. Upon termination, you remain liable for all charges incurred up to the termination date.

Modifications to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to existing clients through email or written notice. Continued use of our services after such modifications constitutes acceptance of the updated terms. We recommend reviewing these terms periodically for any changes.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Rotterdam, Netherlands. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.

Dispute Resolution

We encourage clients to contact us directly to resolve any disputes or concerns. If a dispute cannot be resolved through direct communication, we may agree to participate in mediation before pursuing formal legal proceedings. Any legal action must be commenced within one year of the event giving rise to the claim.

Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These terms, together with any individual service agreements and our Privacy Policy, constitute the entire agreement between you and broombpsrw regarding the use of our services. These terms supersede all prior or contemporaneous communications, proposals, and agreements relating to the subject matter herein.
